I could talk about Kate’s technical knowledge, especially in the Funds area, where she provides clear, “no nonsense” advice focused on her clients’ real needs. Or I could talk about her proactivity and commitment to client service. Or I could talk about the commitment she has shown in getting to grips with her new role as Partner of Voisin & Co. But I think the thing that marks Kate out most from her peers is her determination to continually develop her skills, knowledge and performance. Most people sit back when they reach the dizzy heights of partnership but Kate has continued to focus on what she can do better – asking for feedback and ideas and taking all input squarely on the chin. Not only that but I can see the effect of that feedback on a day-to-day basis as Kate works to develop her strengths and address her weaknesses. Whether it is in her online profile and activity, her interactions with colleagues and clients or the feedback and support she provides to me, the evidence of change is plain to see and it is this development that makes me firmly believe Kate will be a key driver of the future direction of her firm, the sector and the island.

I have worked with Kate for a number of years on many property and funding arrangements, she has always been open to discussion and client requirements and understood needs of the client and applied the same in a practical manner so as to achieve a successful outcome. My experience of working with many Jersey based lawyers has not always been one of understanding of the clients commercial requirements and as such Kate is always my Jersey lawyer of choice on transaction of £1Million to £300Million.

Kate is an experienced financial services, banking and finance professional. As the Partner in charge of the Banking and Funds practices of Voisin, she advises on the establishment of investment vehicles ranging from single investor/corporate group structures to retail collective investment funds.

Kate’s regulatory and funds practice specialises in the legal, regulatory and corporate governance aspects of investment vehicles, collective investment funds, holding companies and managers. Kate and her team aim to provide practical, honest solutions to what are often complex legal and regulatory issues. They aim to take the worry out of setting up these structures.

Once established Kate and her team aim to provide a seamless transition to the maintenance of the structure providing ongoing regulatory advice if required, together with advice on the financing of the structure practical, pragmatic advice on any required restructuring as and when required.

Kate’s banking and finance practice focusses on advising on large corporate borrowing transactions, predominantly relating to commercial real estate groups borrowing from conventional lenders and debt funds. The debt is regularly £100m +, often involves 30+ corporate entities and multiple lenders providing senior and mezzanine debt at various points across the group.

Whilst Kate deals with a wide variety of investment vehicles from plain property investments to CLO’s, she has a particular interest in property holding structures, impact investment and Sharia’h compliant investment vehicles.

Recent cases include:

Kate regularly advises upon the establishment of a wide variety of collective investment funds and other investment vehicles, including issues facing both the funds and their functionaries as a result of the recent economic downturn.

Advised upon the establishment of a Sharia’ compliant umbrella fund.

She was the first to apply for and successfully obtain consent from the JFSC to a derogation from the open ended collective investment funds guide (the “OFIF Guide”) allowing a Jersey fund to feed into a fund of funds.

Kate regularly applies for more general derogations from the OCIF Guide and indeed the listed fund and expert fund guides.

She successfully took a listed fund (listed on AIM) at the end of its life and applied for it to recommence activities (similar but different enough to warrant a new application to the regulator). Thus saving the client the inherent listing value of the company. Again Kate was the first advisor to make such an application.

Successfully guided her client through the application process for a Jersey based fund manager specialising in assets which were subject to a high corruption risk in a high risk jurisdiction.

Kate has re-domiciled a Jersey fund.

She managed the regulatory side of a particularly long and complex gating-suspension-gating of a collective investment fund.

Kate has advised upon the establishment of three Jersey based CLO structures within the last 18 months.

Kate regularly leads her team through large corporate borrowing transactions involving both senior and mezzanine finance.
